BANGKOK, Thailand – The Department of Business Development (DBD) is preparing to remove 11,234 registered legal entities in Bangkok from the business register after they failed to meet legal requirements, placing them under “abandoned” status. DBD Director-General Poonpong Naiyanapakorn said the companies fall into two categories: 8,446 entities that failed to submit financial statements for three consecutive years, indicating they may no longer be operating, and 2,788 entities that registered for dissolution but failed to complete the liquidation process within the required period.
The DBD will publish the list of affected businesses on Aug. 19 through its official website. Companies named in the announcement will have 90 days to submit clarification or objections to the registrar. If no action is taken within the deadline, the companies will be removed from the register and lose their legal entity status. Businesses placed under “abandoned” status will no longer be able to conduct legal transactions. However, liabilities of managing partners, partners, directors, managers and shareholders will remain enforceable. The DBD said companies may apply to restore their registration through the court within 10 years from the date they are removed from the register.
Poonpong urged business owners to comply with legal requirements and maintain accurate records, saying the annual cleanup would help improve transparency and prevent inactive companies from being misused for fraudulent activities. The public and investors are also encouraged to check the status of companies before conducting business or making investments through the DBD’s online information services.
