BANGKOK, Thailand – The government is intensifying efforts to address foreign enterprises that use Thai nationals as proxy “nominees” to circumvent foreign ownership laws. The Ministry of Commerce has identified this initiative as one of its nine urgent missions, under Deputy Prime Minister and Minister of Commerce Supajee Suthumpun, to promote transparent and fair market competition.
Deputy Government Spokesperson Lalida Persvivatana stated that the government is strengthening existing screening measures rather than creating new ones. Since August 1, 2026, authorities have expanded their review beyond initial corporate registration to include post-registration changes, such as shifts in shareholders, directors, or authorized signatories. Entities identified through these measures must explain their investments and provide financial evidence to verify the true source of their funding.
The spokesperson clarified that screening does not imply a company is operating illegally, and having a legal percentage of foreign shareholders does not necessarily indicate a nominee structure. The goal is to identify entities intentionally circumventing Thai law while supporting legitimate foreign investors. This initiative is supported by a collaborative framework among 23 government agencies, established through a Memorandum of Understanding signed in April 2026, to facilitate intelligence sharing and coordinated legal enforcement.
The spokesperson affirmed the government’s ongoing commitment to supporting lawful foreign investment while strengthening regulations against illicit capital. The Department of Business Development continues to improve services for legitimate enterprises through the “e-Foreign Business” portal, which has enabled foreign investors to apply for business licenses and certificates online since August 2024.
The spokesperson reiterated that the government aims not to create barriers for foreign investors, but to foster a fair and transparent business environment that protects lawful operations and addresses illegal proxy structures. (NNT)
